1. Introduction
Welcome to The Schuld League (“The Schuld League”, “we”, “our”, or “us”), a private online membership community operated by JS Media LLC.
These Terms of Membership (“Terms”) govern your access to and use of The Schuld League, including its online community, educational content, courses, downloadable resources, live events, recordings, discussions, and any other services or digital content made available as part of your membership (collectively, the “Membership”).
By purchasing a Membership, accessing any part of The Schuld League, or continuing to use the Membership after these Terms have been updated, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you should not purchase or access the Membership.
These Terms are intended to establish a fair and transparent relationship between you and The Schuld League while protecting both our members and our business.
2. Definitions
For the purposes of these Terms, the following definitions apply:
“Company” means JS Media LLC.
“The Schuld League” means the private online membership community operated by the Company.
“Member” means any individual who purchases or otherwise receives authorized access to the Membership.
“Membership” means the subscription-based access provided to Members, including community discussions, educational materials, courses, downloadable resources, live calls, recordings, and any additional content or services that may be included from time to time.
“Platform” means any website, application, software, or third-party service used to provide the Membership, including but not limited to Skool.
“Content” means all videos, text, graphics, images, worksheets, templates, audio recordings, downloadable materials, community discussions, live sessions, and any other material made available through the Membership.
“Services” means all services provided by the Company as part of the Membership.
3. Eligibility
To become a Member, you must:
* be at least 18 years of age, or have the permission of a parent or legal guardian where permitted by applicable law;
* have the legal capacity to enter into a binding agreement;
* provide accurate and complete information during registration;
* comply with these Terms at all times.
You are responsible for ensuring that your use of the Membership complies with the laws applicable in your country or jurisdiction.
We reserve the right to refuse or terminate Membership where reasonably necessary to protect the integrity, security, or lawful operation of The Schuld League.
4. Description of the Membership
The Schuld League is a subscription-based educational community designed to provide Members with access to educational content, community discussions, resources, and related learning opportunities.
Depending on the Membership offered at the time of purchase, your Membership may include access to:
* educational courses;
* community discussions;
* downloadable resources;
* recordings;
* live events;
* question-and-answer sessions;
* announcements;
* additional educational materials that may be added from time to time.
Membership provides access only during an active subscription period.
Unless expressly stated otherwise, purchasing a Membership does not grant ownership of any Content.
Membership benefits may evolve over time as we improve, expand, modify, or discontinue features of the Membership.
We continually improve The Schuld League. As a result, Content, resources, features, community structure, educational materials, and available services may change over time without prior notice.
Where live calls or similar events are offered, they are provided at our discretion. We aim to provide valuable experiences for Members, but we do not guarantee that live calls will occur according to any particular schedule or frequency.
5. Membership Registration
To access the Membership, you must create an account through the designated Platform.
You agree that all information you provide is accurate, complete, and kept reasonably up to date.
You are responsible for maintaining the confidentiality of your account credentials.
You are solely responsible for all activity occurring under your account unless caused by our negligence or a security failure within systems under our control.
Accounts are personal to the Member who purchased the Membership.
Your Membership may not be:
* shared with others;
* transferred to another person;
* resold;
* sublicensed;
* used to provide unauthorized access to third parties.
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Subscription Plans
The Schuld League currently operates as a subscription-based Membership.
Subscription options may include monthly plans, annual plans, or other billing options introduced in the future.
The available subscription options, pricing, billing frequency, and included Membership benefits are displayed at the time of purchase.
From time to time, we may offer promotional subscription pricing, including Founding Member pricing or similar promotional offers.
Unless otherwise stated at the time of purchase, Members who purchase a Membership under such an offer will retain their promotional subscription price for as long as they maintain an active, uninterrupted subscription.
If the subscription is cancelled or otherwise ends, the promotional pricing may no longer be available upon rejoining.
We may introduce, modify, or discontinue Membership plans at any time.
Changes to pricing will not affect your current billing period but may apply upon renewal, subject to applicable law and reasonable prior notice where required.
7. Payments
Membership fees are payable in advance.
Payments are processed through third-party payment providers, which may include Stripe or other providers selected by the Company.
By purchasing a Membership, you authorize the applicable payment provider to charge your selected payment method according to your chosen subscription plan.
You are responsible for ensuring that your payment information remains accurate and up to date.
If a payment cannot be successfully processed, your Membership may be suspended or terminated until payment has been successfully completed.
Applicable taxes, if any, may be added where required by law.
Unless otherwise stated at the time of purchase, all prices are displayed in United States Dollars (USD).
8. Automatic Renewal
Membership subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
By purchasing a subscription, you authorize recurring charges corresponding to your selected Membership plan until you cancel your subscription.
The renewal amount will be the price applicable to your subscription, unless that price is changed in accordance with these Terms and applicable law.
9. Cancellation
You may cancel your Membership at any time through your account settings or by contacting us.
Cancellation prevents future renewals.
Cancellation takes effect at the end of your current billing period.
You will continue to have access to the Membership until the end of the billing period already paid for.
No partial refunds or prorated refunds are provided for unused portions of an active billing period unless required by applicable law or expressly approved by the Company.
Deleting your account or ceasing to use the Membership does not automatically cancel your subscription.
10. Refund Policy
We strive to treat Members fairly while maintaining the sustainability of The Schuld League.

Refund requests are reviewed individually.
Where required by applicable consumer protection laws, including mandatory statutory rights that cannot legally be excluded, we will honor those rights.
In addition, as a matter of customer service, we generally intend to process refund requests submitted within fourteen (14) days of an initial Membership purchase, provided the request is made in good faith and complies with applicable law. This voluntary practice does not limit or replace any mandatory consumer rights that may apply.
Except where required by law or otherwise approved by the Company, refunds are generally not available for:
* recurring renewal payments;
* partially used billing periods;
* failure to cancel before renewal;
* dissatisfaction arising from changes to Content made in accordance with these Terms.
Approved refunds will generally be returned using the original payment method.
Nothing in this section limits any consumer rights that cannot legally be excluded under applicable law.
11. Community Standards and Member Conduct
The Schuld League is intended to provide a respectful, supportive, and constructive environment for Members to learn, collaborate, and grow.
By participating in the Membership, you agree to conduct yourself in a manner that contributes positively to the community.
Members must not:
* harass, threaten, intimidate, or abuse other Members;
* engage in discrimination, hate speech, or unlawful conduct;
* deliberately disrupt discussions or community activities;
* post spam, unsolicited advertising, or promotional material without permission;
* impersonate another individual or misrepresent their identity;
* upload malicious software, viruses, or harmful code;
* attempt to gain unauthorized access to accounts or systems;
* violate the intellectual property rights or privacy rights of others;
* use the Membership for illegal purposes;
* encourage others to violate these Terms.
Healthy disagreement and respectful discussion are welcome. However, we reserve the right to moderate discussions where reasonably necessary to maintain a positive and productive learning environment.
Members are expected to contribute in a manner that supports the educational purpose of The Schuld League. We may moderate or remove content that is substantially unrelated to the purpose of the community or otherwise interferes with maintaining a constructive learning environment.
12. Community Moderation
The Schuld League is a privately operated community.
To maintain a safe and productive environment, we reserve the right to moderate community discussions and take appropriate action where reasonably necessary.
Such actions may include, where reasonably appropriate:
* removing content;
issuing warnings
limiting access to certain community features;
* temporarily restricting participation;
* suspending accounts;
* terminating Membership.
Moderation decisions are made at our reasonable discretion and are intended to protect the overall quality, safety, and integrity of the community.
We are not obligated to publicly explain moderation decisions.
13. Intellectual Property
Unless otherwise stated, all Content made available through the Membership is owned by or licensed to JS Media LLC.
This includes, without limitation:
* courses;
* videos;
* presentations;
* written materials;
* worksheets;
* templates;
* graphics;
* audio recordings;
* community resources;
* branding;
* logos;
* educational frameworks;
* other original materials provided through the Membership.
Your Membership grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Content for your own personal educational purposes.
Except where expressly permitted in writing, you may not:
* reproduce the Content;
* distribute the Content;
* sell the Content;
* sublicense the Content;
* publicly display the Content;
* upload the Content elsewhere;
* create commercial products based primarily upon the Content.
Nothing in these Terms transfers ownership of any intellectual property to Members.
14. User-Generated Content
Members may choose to submit comments, questions, discussions, feedback, or other content within the community (“User Content”).
You retain ownership of your User Content.
However, by submitting User Content within The Schuld League, you grant the Company a worldwide, non-exclusive, royalty-free license to display, reproduce, and use such User Content solely for operating, improving, and administering the Membership.
You represent that you have the necessary rights to submit your User Content.
You agree not to submit content that:
* infringes the rights of others;
* is unlawful;
* contains malicious software;
* contains confidential information you are not authorized to disclose.
We reserve the right to remove User Content where reasonably necessary to protect the Membership or comply with applicable law.
15. Educational Purpose
The Schuld League exists to provide educational information, personal development resources, and opportunities for learning and discussion.
Individual results will vary.
We do not guarantee that participation in the Membership will produce any particular outcome, including financial success, business success, career advancement, productivity improvements, personal development, or other specific results.
Your success depends upon numerous factors beyond our control, including your own effort, experience, circumstances, and decisions.
Examples, case studies, testimonials, or discussions shared within the Membership should not be interpreted as guarantees of future results.
16. No Professional Advice
The Content provided through The Schuld League is intended solely for general educational and informational purposes.
Nothing within the Membership constitutes:
* legal advice;
* financial advice;
* tax advice;
* accounting advice;
* investment advice;
* medical advice;
* psychological advice;
* therapeutic advice;
* professional advice of any kind.
Members should seek appropriately qualified professionals regarding their own individual circumstances.
Participation in the Membership does not create any professional-client relationship between the Company and any Member.
17. Live Events and Community Activities
From time to time, we may offer live calls, workshops, question-and-answer sessions, community events, or similar activities.
These events are provided as an additional Membership benefit where available.
Live events may be added, modified, rescheduled, recorded, or discontinued at our discretion.
We do not guarantee the availability, frequency, duration, attendance, or continued offering of any live event.
Where recordings are made available, we reserve the right to determine whether such recordings remain accessible to Members.
18. Availability of the Membership
We aim to provide reliable access to the Membership.
However, uninterrupted availability cannot be guaranteed.
Access may occasionally be interrupted due to:
* maintenance;
* software updates;
* third-party platform outages;
* technical failures;
* security incidents;
* circumstances beyond our reasonable control.
Temporary interruptions do not automatically entitle Members to refunds or compensation.
We will make reasonable efforts to restore access as soon as practicable.
19. Changes to the Membership
We continually improve and develop The Schuld League.
Accordingly, we reserve the right to:
* add new Content;
* remove outdated Content;
* update educational materials;
* introduce new Membership features;
* discontinue existing features;
* improve community functionality;
* reorganize the Membership structure.
Such changes are a normal part of maintaining and improving an evolving educational community.
Membership does not guarantee permanent availability of any specific lesson, course, feature, resource, instructor, live event, or community activity.
20. Suspension and Termination
We reserve the right to suspend or terminate a Membership where reasonably necessary, including where a Member:
* materially violates these Terms;
* repeatedly disrupts the community;
* engages in unlawful conduct;
* abuses other Members;
* attempts to circumvent platform security;
* shares Membership access without authorization;
* fails to make required payments;
* engages in fraudulent activity.
Where appropriate, we may provide a warning before suspension or termination.
However, we reserve the right to terminate access immediately where reasonably necessary to protect Members, the Company, or the integrity of the Membership.
Termination of Membership does not automatically entitle the Member to a refund unless required by applicable law.
21. Third-Party Services
The Membership is provided using third-party platforms and services.
These may include payment providers, hosting providers, communication services, email providers, and community platforms such as Skool.
We are not responsible for the independent operation, policies, availability, security, or functionality of third-party services.
Your use of such third-party services may also be subject to their own terms and privacy policies.
Where third-party services experience outages or interruptions, we will make reasonable efforts to continue providing the Membership, but we cannot guarantee uninterrupted availability resulting from issues outside our reasonable control.
22. Limitation of Liability
To the fullest extent permitted by applicable law, the Company shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Membership.
This includes, without limitation:
* loss of profits;
* loss of revenue;
* loss of business opportunities;
* loss of data;
* interruption of business;
* reputational harm;
* personal decisions made based on educational Content.
The Membership is provided for educational purposes. Members remain solely responsible for how they apply any information, strategies, opinions, or discussions presented within the Membership.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law, including liability for fraud, fraudulent misrepresentation, willful misconduct, or any liability that cannot legally be excluded.
Where applicable law permits limitation of liability but not complete exclusion, our total aggregate liability arising out of or relating to the Membership shall not exceed the total Membership fees paid by the affected Member during the twelve (12) months immediately preceding the event giving rise to the claim.
23. Member Responsibility
Members remain fully responsible for their own decisions, actions, business activities, investments, health, finances, relationships, and personal circumstances.
Participation in the Membership does not guarantee any specific outcome.
Members should independently evaluate all information provided through the Membership before relying upon it in making important decisions.
Where professional advice is appropriate, Members should consult a suitably qualified professional.
24. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless JS Media LLC, its owners, officers, employees, contractors, and representatives from reasonable claims, losses, damages, liabilities, costs, and expenses arising from:
* your violation of these Terms;
* your unlawful conduct;
* your infringement of another person’s rights;
* your misuse of the Membership.
This obligation does not apply where the claim arises primarily from our own negligence or misconduct.
25. Force Majeure
The Company shall not be responsible for delays or failures in performing its obligations where such delays or failures result from circumstances beyond our reasonable control.

Where changes materially affect Members’ rights or obligations, we will make reasonable efforts to notify Members before the updated Terms take effect.
Continued use of the Membership after the effective date of updated Terms constitutes acceptance of those updated Terms.
If you do not agree with a material change, you may cancel your Membership before the updated Terms become effective.
27. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to the contractual relationship between the Company and the Member, without prejudice to any mandatory consumer protection rights that apply under the laws of the Member’s country of residence.
Nothing in these Terms limits or excludes mandatory consumer rights that cannot legally be waived under applicable law.
28. Dispute Resolution
If a dispute arises, both the Member and the Company agree to first attempt to resolve the matter in good faith through direct communication.
Members are encouraged to contact us before initiating formal legal proceedings so that we may attempt to reach an amicable resolution.
Nothing in this section limits any statutory rights to pursue legal remedies where applicable law provides otherwise.
29. Severability
If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
30. No Waiver
Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights under these Terms.
Any waiver shall be effective only if made expressly and in writing.
31. Assignment
The Company may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or other business reorganization.
Members may not assign or transfer their Membership or any rights under these Terms without our prior written consent.
32. Entire Agreement
These Terms, together with our Privacy Notice, Withdrawal & Refund Policy, Disclaimer, and any additional policies expressly incorporated by reference, constitute the entire agreement between the Company and the Member regarding the Membership.
They supersede all prior discussions, understandings, representations, and agreements relating to the Membership.

34. Acceptance of these Terms
